Terms of Service

1. Introduction

Welcome to vFiscal ERP. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and LineIT Consultancy ("Company", "we", "us", or "our"), a company registered in Zimbabwe, governing your access to and use of the vFiscal ERP platform available at erp.lineit.tech.

By creating an account or using vFiscal, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the platform. If you are using vFiscal on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

To use vFiscal, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate.
• Keep your login credentials secure and confidential. You are responsible for all activity under your account.
• Maintain only one account per individual user.
• If registering on behalf of an organization, you are responsible for ensuring all users within your organization comply with these Terms.

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that violate these Terms.

3. Subscription Plans

vFiscal offers multiple subscription tiers designed to meet different business needs:

• Free Plan: A limited free tier for small businesses getting started.
• Starter Plan: For small businesses with basic ERP needs.
• Business Plan: For growing businesses requiring expanded features.
• Professional Plan: For established businesses with advanced requirements including multi-branch and multi-currency support.
• Enterprise Plan: For large organizations requiring dedicated support, SSO, and unlimited resources.

Subscription fees are billed monthly or annually depending on the plan selected. Payments can be made via PayPal for international transactions, or via EcoCash and OneMoney for local Zimbabwean mobile money payments. All fees are non-refundable except where required by law. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

4. Free Plan Terms

The Free Plan is subject to the following limitations:

• Limited to a maximum of 20 invoices per month.
• Limited to a maximum of 20 quotations per month.
• Unlimited users.
• Unlimited branches.
• All documents generated under the Free Plan (invoices, quotations, receipts) will include vFiscal branding and a watermark.
• Access to certain advanced features such as multi-currency, API access, and custom reporting is not available on the Free Plan.

The Free Plan is provided as-is and may be modified or discontinued at our discretion. We may impose additional limitations on the Free Plan to ensure fair usage of shared resources.

5. Acceptable Use

You agree to use vFiscal only for lawful purposes and in accordance with these Terms. You must not:

• Use the platform for any illegal activity, including money laundering or tax evasion.
• Attempt to gain unauthorized access to other users' accounts, data, or organization resources.
• Scrape, crawl, or use automated tools to extract data from the platform without our written consent.
• Introduce malware, viruses, or any harmful code into the platform.
• Overload, disrupt, or interfere with the platform's infrastructure or other users' access.
• Share your account credentials with unauthorized individuals or create accounts for fraudulent purposes.
• Resell, sublicense, or redistribute access to vFiscal without our express written permission.

Violation of these terms may result in immediate suspension or termination of your account without prior notice.

6. Intellectual Property

The vFiscal platform, including its source code, design, logos, trademarks, documentation, and all associated intellectual property, is owned by LineIT Consultancy and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the platform for the duration of your subscription.

All business data you enter into vFiscal (customer records, invoices, financial data, etc.) remains your property. We do not claim ownership of your data. You grant us a limited license to process and store your data solely for the purpose of providing the vFiscal service.

7. Data and Privacy

Your privacy is important to us. Our collection, use, and protection of your personal and business data is governed by our Privacy Policy, which forms part of these Terms. By using vFiscal, you consent to the data practices described in our Privacy Policy.

We implement multi-tenant data isolation to ensure that your organization's data is strictly separated from other organizations on the platform. We will never access your business data except as necessary to provide support at your request or to comply with legal obligations.

8. ZIMRA Compliance

vFiscal includes features to assist with compliance with the Zimbabwe Revenue Authority (ZIMRA) Fiscal Device Management System (FDMS), including fiscal receipt generation, device registration, and tax reporting capabilities.

However, it is important to understand that:

• vFiscal is a tool to assist with tax compliance. It does not constitute tax advice.
• You are solely responsible for the accuracy of the tax information you submit through the platform.
• You are responsible for ensuring your business meets all ZIMRA registration, reporting, and compliance requirements.
• LineIT Consultancy is not liable for any penalties, fines, or tax liabilities arising from incorrect data entry, system misconfiguration, or changes in ZIMRA regulations.
• You should consult a qualified tax professional for guidance on your specific tax obligations.

9. Service Availability

We strive to maintain 99.9% uptime for the vFiscal platform. However, we do not guarantee uninterrupted access and the service may be temporarily unavailable due to:

• Scheduled maintenance, which we will announce in advance whenever possible.
• Emergency maintenance required to address security vulnerabilities or critical issues.
• Factors beyond our control, including internet outages, third-party service disruptions, or force majeure events.

We will make reasonable efforts to minimize downtime and provide advance notice of planned maintenance windows.

10. Limitation of Liability

To the fullest extent permitted by applicable law, LineIT Consultancy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of vFiscal.

Our total liability for any claim arising from or related to these Terms or the use of vFiscal shall not exceed the total amount you have paid to us in subscription fees during the twelve (12) months preceding the claim. The platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

11. Termination

Either party may terminate this agreement:

• By You: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.
• By Us: We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or engage in activity that harms the platform or other users. We will provide notice where reasonable.

Upon termination, you will have 30 days to export your business data. After this period, your data will be permanently deleted from our systems in accordance with our Privacy Policy. Any outstanding fees remain payable upon termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Zimbabwe. Any disputes arising from or related to these Terms or your use of vFiscal shall be subject to the exclusive jurisdiction of the courts of Zimbabwe. Both parties agree to attempt to resolve any disputes through good-faith negotiation before pursuing formal legal proceedings.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least 30 days' notice via email to the address associated with your account and by posting the updated Terms on this page. Your continued use of vFiscal after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must discontinue use of the platform.
